TeraVista Systems Sells Farmergy„ Brand and Key Technology Assets to focus on the Carbon Credit Marketplace

TeraVista Systems (http://www.tera-vista.com), an environmental technology solutions company, announced a deal with Solar Night Industries (OTC: SLND.PK) to acquire key assets of their Farmergy entity. The deal includes the Farmergy brand and marketing materials, customer databases and specifically the patent-pending SmartEnergy PRO energy planning technology application.

Mark Green, CEO of TeraVista Systems stated, "The sale of the Farmergy assets to Solar Night Industries strengthens the go-to-market focus of the Farmergy brand, through the integration of operations and synergies of both companies' operational structures."

Solar Night Industries is a renewable energy company formed to accelerate the adoption of Modern Energy Solutions. Farmergy was founded with a minority investment by Solar Night Industries in 2006, with the realization that there was a channel-specific opportunity for providing clean, modern energy solutions in the agricultural and rural segment.

The sale of Farmergy allows TeraVista Systems to focus solely on providing software products and patented solutions within the carbon credit marketplace, sustainability management arena and administrative side of the renewable energy industry. On the heels of a successful build and sale of the SmartEnergy PRO application, the company has accelerated development of a new platform that will streamline the Carbon Credit commodity trading process for aggregators and traders. Separately from the asset sale, TeraVista Systems has been retained to continue managing the technology solutions for Solar Night Industries and will serve as an exclusive licensor of the SmartEnergy PRO application for non-competing markets of Solar Night Industries.

TeraVista Systems has been providing technology development and consulting services since January 2007, including working with The Keystone Center, www.keystone.org, a neutral, non-profit organization that specializes in facilitating scientific and policy outcomes that are enabled by expert science, careful convening and skilled process. The Keystone Center has launched a new agriculture sustainability initiative with members from producer and conservation organizations and businesses throughout the agricultural supply chain. This initiative's primary objective is identifying practices for increasing production agriculture's sustainability with a focus on results. Once the practices have been identified, growers will have diverse, economically viable choices to employ in order to achieve the broadest possible adoption. TeraVista Systems was selected in early 2007 as the technology partner to build a web-based delivery platform to facilitate of grower registration and participation, and knowledge resource sharing based on key outcomes.

"Our focus as a company has been on reducing and managing environmental impacts by building applications and strategies that reduce the complexities and cost of accessing and utilizing valuable data needed to achieve environmental, social and economic sustainability. The ultimate goal is that our clients and their customers save time and money while increasing productivity and profitability." Green states, "You can expect to see the launch of several other programs from TeraVista Systems in 2008 that will drive personal and corporate accountability in these areas."
